Terms, Conditions & Guarantees of Service

Effective Date: 22nd December 2025

These Terms, Conditions & Guarantees of Service ("Terms") govern access to and use of the Camie AI platform and related services ("Camie AI", "the Platform", "we", "us", "our"). By creating an account, accessing, or using Camie AI, you agree to these Terms.

If you do not agree, do not use the Platform.


1. Definitions

Customer

A business or organization that subscribes to and uses the Camie AI platform.

Lead

An individual whose personal data is processed using Camie AI on behalf of a Customer.

Services

The Camie AI software platform, including voice agents, messaging, automation, analytics, integrations, and related features.

Usage

Any processing of Leads or interactions through the Platform, including but not limited to calls, messages, transcripts, recordings, or automated workflows.


2. Scope of Services

Camie AI provides an automation and AI-enabled software platform designed to assist Customers with lead engagement, communications, and workflow automation.

Camie AI is not:

  • A human agent
  • A sales representative
  • A legal or compliance service
  • A guarantee of business outcomes

The Services are tools. Outcomes depend on the Customer's market, data, configuration, compliance, and execution.


3. Account Responsibilities

Customers are responsible for:

  • Maintaining account security and access credentials
  • Configuring agents, workflows, prompts, and automations
  • Monitoring outputs and reviewing AI-generated content
  • Ensuring lawful and appropriate use of the Services

Customers are solely responsible for all activity conducted through their account.


4. AI & Automated Processing Disclaimer

Camie AI uses automated systems, including artificial intelligence models, to generate responses, initiate communications, and perform actions.

Customers acknowledge that:

  • AI-generated outputs may be inaccurate, incomplete, or inappropriate
  • Automated systems do not replace human judgment
  • Camie AI does not guarantee the accuracy or suitability of AI outputs

Customers are responsible for reviewing, supervising, and approving the use of AI-generated content.


5. Compliance & Lawful Use

Customers are solely responsible for:

  • Obtaining all required consents from Leads
  • Providing legally required disclosures (including call recording notices)
  • Complying with applicable laws and regulations, including but not limited to TCPA, GDPR, UK GDPR, PECR, CAN-SPAM, and similar regulations

Camie AI does not provide legal advice and is not responsible for Customer compliance failures.


6. Fees, Billing & Usage

Customers agree to pay all applicable subscription fees and usage-based charges in accordance with their selected plan.

Usage-based charges may include, but are not limited to:

  • Call minutes
  • Messages sent
  • Transcripts generated
  • Third-party service costs

Failure to pay may result in suspension or termination of Services.


7. Refund Policy

7.1 General Rule

Once Camie AI has successfully processed any Lead or interaction, the Service is deemed to have been used.

Successful processing of any Lead or interaction constitutes objective evidence that the Platform is operational and capable of performing its intended function.

7.2 No-Usage Refunds

If a Customer has not successfully processed any Lead or interaction, the Customer may be eligible for a refund, less any non-refundable costs.

Non-refundable costs include, but are not limited to:

  • Third-party usage fees
  • Infrastructure or setup costs
  • Domains, email servers, or external services purchased on the Customer's behalf

7.3 90-Day Discretionary Refund Window

Regardless of usage, a Customer may request a refund within 90 days of purchase if they choose not to continue using the Platform.

Refunds within this period:

  • Are not guaranteed
  • May be partial or denied entirely
  • Are adjusted for usage, results, and incurred costs
  • Are granted solely at Camie AI's discretion

7.4 Refund Disqualification Thresholds

No refund will be issued if any one of the following cumulative thresholds is exceeded:

  • Leads processed: over 1,000
  • Calls connected: over 10,000
  • Appointments booked: over 100
  • Messages sent (SMS, email, or chat): over 10,000
  • Transcripts generated: over 10,000

Crossing any threshold constitutes delivery of material and demonstrable value.


8. Service Continuity Guarantee

Camie AI guarantees that, subject to these Terms:

  • Customers will have continued access to the Services while their account remains active, compliant, and in good standing
  • Services will remain available as long as Camie AI remains in business

This guarantee does not apply to outages caused by:

  • Maintenance or updates
  • Third-party service providers
  • Force majeure events

9. No Performance or Results Guarantee

Camie AI does not guarantee:

  • Booked appointments
  • Lead conversions
  • Revenue, profit, or return on investment

While Camie AI may provide support, configuration assistance, and optimization guidance, all business outcomes remain the responsibility of the Customer.


10. Suspension & Termination

Camie AI may suspend or terminate access if:

  • Fees remain unpaid
  • The Services are misused
  • Applicable laws are violated
  • These Terms are breached

Upon termination, data handling will follow the Camie AI Privacy Policy.


11. Intellectual Property

Camie AI retains all rights to:

  • The Platform
  • Software, systems, and underlying technology
  • Templates, prompts, and workflows provided by Camie AI

Customers retain ownership of their data.


12. Disclaimers

The Services are provided "as is" and "as available".

Camie AI disclaims all warranties, express or implied, including fitness for a particular purpose.


13. Limitation of Liability

To the maximum extent permitted by law, Camie AI's total liability is limited to the fees paid by the Customer in the 12 months preceding the claim.

Camie AI shall not be liable for indirect, incidental, or consequential damages.


14. Indemnification

Customers agree to indemnify and hold harmless Camie AI from claims arising from:

  • Customer misuse of the Services
  • Violations of law or regulation
  • Failure to obtain required consent
  • Content generated or actions taken using the Platform

15. Governing Law

These Terms are governed by the laws of England and Wales.


16. Changes to These Terms

Camie AI may update these Terms from time to time. Continued use constitutes acceptance of the updated Terms.
